1. Acceptance and changes
By creating an account, executing a tool run, or completing a Stripe checkout, you accept these terms on behalf of yourself and any organization you represent. You confirm you are at least 18 years old and have the legal authority to enter this agreement.
KAIRO may update these terms at any time. Material changes will be announced through the platform with at least thirty (30) days notice. Continued use after the effective date of an update constitutes acceptance.
2. The service
KAIRO is an AI-augmented intelligence platform that synthesizes signals from public web data, public records, behavioral inferences, licensed datasets, and agent-generated analysis. The platform delivers outputs as briefs, drafts, scores, and structured deliverables.
Outputs are intended as decision-support material. They are not legal advice, financial advice, tax advice, medical advice, or any other form of professional advice. You are responsible for your own decisions and actions based on platform output.
3. Your account
You must register for an account to access most features. You are responsible for safeguarding your credentials, for all activity under your account, and for any unauthorized use you fail to report promptly. Notify us through the contact channel if you suspect unauthorized access.
You may not share account credentials, transfer your account, or use the account on behalf of an undisclosed third party. Each subscription is licensed for use by the named billing party.
4. Acceptable use
You may not use the platform to:
- Violate any applicable law, regulation, or third-party right.
- Reverse engineer, decompile, or attempt to extract the source code of the platform.
- Use the platform to build, train, or improve a competing product.
- Send unsolicited communications, spam, or harassing messages using platform output.
- Submit content that infringes intellectual property, defames, or violates the privacy of others.
- Bypass rate limits, security controls, or access mechanisms.
- Resell, sublicense, or redistribute the platform or output without written permission.
- Use the platform for any unlawful surveillance, doxxing, or harassment.
Violations may result in immediate suspension, termination, and forfeiture of any committed but unbilled amounts. Serious violations may be reported to law enforcement.
5. Intellectual property
Our IP
The platform, its design, its codebase, its agent workforce architecture, its tool registry, and all KAIRO-branded materials are owned by KAIRO and protected by intellectual property law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform during your active subscription.
Your IP
You retain ownership of all data and content you submit to the platform. By submitting it, you grant us a worldwide, non-exclusive license to process it as necessary to deliver the service.
Output ownership
Outputs generated through your use of the platform are licensed to you for your business use. You may use, modify, and distribute outputs subject to applicable third-party rights in any underlying data the output references. You may not represent outputs as having been authored by a human if a human did not materially contribute.
6. Third-party data and content
The platform incorporates public web data, public records, and licensed datasets. We do not warrant the accuracy, completeness, or freshness of third-party data. The platform surfaces confidence levels and source provenance where possible. You are responsible for verifying material claims before acting on them.
7. Fees, billing, and refunds
Fees are set on each product page and confirmed during Stripe checkout. The full commercial model, including the three month Copilot tier, the twelve month annual commitment, the fourteen day cooling off period, and the refund and pause provisions, is described on the Commercial Policy page and is incorporated into these terms by reference.
You authorize us to charge your designated payment method for all amounts due. You agree to keep your payment information current. Failed charges may result in service suspension after a reasonable grace period.
8. Termination
Either party may terminate this agreement at the end of the committed term or as otherwise permitted under the Commercial Policy. We may suspend or terminate immediately for material breach, fraud, or failure to pay.
On termination, your access to the platform ends, and we may delete your data after a thirty (30) day grace period for export. Sections that by their nature survive termination (intellectual property, confidentiality, indemnification, limitation of liability, governing law) will continue to apply.
9. Disclaimer of warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, ERROR-FREE, OR SUITABLE FOR YOUR INTENDED USE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIRO AND ITS OFFICERS, OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OUR TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID TO KAIRO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE.
11. Indemnification
You agree to defend, indemnify, and hold harmless KAIRO from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the platform, (b) your violation of these terms, (c) your violation of any third-party right, or (d) any content you submit.
12. Governing law and dispute resolution
This agreement is governed by the laws of the State of New York without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in Nassau County, New York, and the parties consent to personal jurisdiction in those courts.
You agree that any claim must be brought within one (1) year after the cause of action arises. Class actions and class arbitrations are not permitted.
13. Confidentiality
Each party will protect the other party's confidential information with the same degree of care it uses to protect its own confidential information, and at least a reasonable degree of care. Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.
14. Export controls
You may not use, export, or re-export the platform in violation of US export laws or regulations, including but not limited to the Export Administration Regulations. You represent that you are not located in a country subject to a US government embargo and not on any US government list of prohibited or restricted parties.
15. Notices
Notices to KAIRO must be sent through the channels listed on the Contact page. Notices to you will be sent to the email address associated with your account.
16. Entire agreement
These terms, together with the Commercial Policy, Privacy Policy, and Data Processing Addendum, constitute the entire agreement between you and KAIRO and supersede any prior agreements on the subject matter. If any provision is held unenforceable, the remaining provisions remain in full effect.
